Octavize LLC offers AI consulting and software-build services, including the AI Ops Audit, Agent and Workflow Build, and AI Ops Retainer offers described on this site. Engagement terms, deliverables, pricing, and timelines are governed by a separate Statement of Work signed by both parties before work begins.
Fees are stated in the relevant Statement of Work. Audit fees are paid in full at engagement start. Build fees are paid 50% at start, 50% at delivery. Retainer fees are paid monthly in advance. Invoices are due net-7 unless otherwise agreed.
Code, documentation, and deliverables produced under a Statement of Work transfer to the client upon final payment, except for general-purpose tooling, libraries, and reusable components that Octavize LLC retains for use in other engagements.
Each party agrees to keep the other's confidential information private. Either party may sign a separate NDA before kickoff.
Services are provided on a best-effort basis. We do not warrant that systems we build will be error-free or uninterrupted. The site itself is provided "as is" with no warranties of any kind.
Octavize LLC's total liability under any engagement is limited to the fees paid by the client under that engagement in the prior twelve months. We are not liable for indirect, incidental, or consequential damages.
Either party may terminate a Retainer with 30 days written notice. Build engagements terminate on delivery and acceptance. Refunds for partial work are at our discretion.
These terms are governed by the laws of the State of Delaware, USA. Disputes will be resolved in Delaware courts.
We may update these terms. Continued use of the site or our services after a change constitutes acceptance.
